Acceptance Of Terms And Conditions
Your access to and use of the Service is subject to this Agreement, as well as all applicable laws and regulations. If you do not accept and agree to be bound by this Agreement in its entirety, you are strictly prohibited from visiting, accessing, registering with and/or using the Service or any information or Content provided through the Service, except as necessary to review this Agreement. The Service is continually under development, and we reserve the right to revise or remove any part of this Agreement or the Service in our sole discretion at any time and without prior notice to you. Any changes to this Agreement are effective upon posting to the Platform. Unless otherwise indicated, any new Content added to the Service is also subject to this Agreement upon posting to the Platform. You should check the Terms and Conditions from time to time when you use the Services to determine if any changes have been made. If you disagree with this Agreement or any terms or conditions herein, your sole remedy is to discontinue your use of the Service. Your continued use after a change to this Agreement has been posted constitutes your acceptance of this Agreement as modified by such changes.
Your Relationship With Us
We are a technology company that makes available to individuals who register as users of the Service (“Users”) certain products and services sold or offered by ICARE+ or by third-party medical providers, pharmacies, prescription discount vendor partners or other vendors. Our iCare+ member pharmacies include pharmacies who are cooperative members of or who access wholesale prescription acquisition services and pharmacy service programs offered by Independent Pharmacy Cooperative, and other third-party pharmacies (the “Pharmacies”). We may also provide you with access to one or more medical groups who provide healthcare services through the Platform (the “Medical Groups”). These Medical Group(s) employ or contract with physicians and allied health professionals who offer certain healthcare services through the Platform (“Providers”). By accepting this Agreement, you acknowledge and agree that any services you receive from the Medical Group(s), Provider(s), and Pharmacies through the Platform are also subject to this Agreement, and that the Medical Group(s), Provider(s), and Pharmacies are third-party beneficiaries of this Agreement.
With respect to the Medical Group(s), Provider(s), and Pharmacies, we act solely as a technology platform to connect you with the products and services offered by the Medical Group(s), Provider(s), and Pharmacies through the Service. We do not control or interfere with the practice of medicine by the Medical Group(s), Provider(s), and Pharmacies, each of whom is solely responsible for the medical care and treatment he or she provides to you. ICARE+ makes no representations or warranties about the suitability, reliability, timeliness or accuracy of the medical care and treatment provided by the Medical Group(s), Provider(s), and Pharmacies. By accepting this Agreement, you acknowledge and agree that ICARE+ is not a healthcare provider and that, by using the Service, you are not entering into a doctor-patient or other health care provider-patient relationship with ICARE+. By using the Service, you may, however, be entering into a doctor-patient or other health care provider-patient relationship with the Medical Group(s), Provider(s), and one or more of the Pharmacies. By accepting this Agreement, you acknowledge and agree that the Medical Group(s), Provider(s) and/or Pharmacies may send you messages (including text messages), reports, and emails via the Service regarding your diagnosis, prescription and/or treatment. You further understand and agree that it is your sole responsibility to monitor and respond to these messages, reports, and emails and that neither ICARE+ nor the Medical Group(s), Provider(s) nor any Pharmacies will be responsible in any way and you will not hold ICARE+ nor the Medical Group(s), Provider(s) or any Pharmacy liable for any loss, injury, or claims of any kind resulting from your failure to read or respond to these messages or for your failure to comply with any treatment recommendations or instructions from the Medical Group(s), Provider(s) and/or one of the Pharmacies.
While you are not establishing a doctor-patient or other health care provider-patient relationship with ICARE+, by using the Service, you are establishing a direct customer relationship with ICARE+ to use the Platform and to purchase any non-prescription products or non-medical services sold directly to you by ICARE+ through the Platform. In connection with such relationship, you may provide to us, or cause to be provided to us on your behalf, personal information, including health information, that is subject to use by us in accordance with our Please refer to the “Privacy Policy” section and the “Protected Information” section below for additional information.

Consent To Use Of Telehealth, Telemedicine, Telepharmacy And Remote Patient Monitoring Services, Script Pass (Prescription Discount Card)
Telehealth involves the delivery of healthcare services using electronic communications, information technology or other means between a healthcare provider and a patient who are not in the same physical location. Telemedicine may be used for diagnosis, treatment, follow-up and/or related patient education, and may include, but is not limited to:
- Electronic transmission of medical records, photo images, personal health information, or other data between a patient and health care provider.
- Interactions between a patient and health care provider via audio, video, and/or data communications; and Use of output data from medical devices, sound, and video files.
The electronic systems used in the Services will incorporate network and software security protocols to protect the privacy and security of health information and imaging data and will include measures to safeguard the data to ensure its integrity against intentional or unintentional corruption. Notwithstanding the foregoing, you agree and understand that these software security protocols and measures are not guarantees that the Services will not be subject to breaches of security beyond our control.
While the provision of health care services using telehealth may offer certain potential benefits, there are also potential risks associated with the use of telehealth. The telehealth services are not a substitute for in-person health care in all cases. In some cases, a Provider or Medical Group may use the Services to provide advice or treatment to you.
A Provider or Medical Group consulting with you through the Services may not have the benefit of information that would be obtained by examining you in person and observing your physical condition, in each instance. Therefore, the Provider or Medical Group may not be aware of facts or information that may affect his or her opinion regarding a potential diagnosis or treatment recommendation.
To reduce the risk to you of this limitation, ICARE+ strongly encourages you to provide all relevant information and discuss any and all diagnosis and treatment options with a Provider or Medical Group. Moreover, a Provider or Medical Group utilizing the Platform may be limited by the state in (i) prescribing certain medications to you without first conducting an in-person physical examination; and (ii) providing telemedicine services via means other than by real-time audio-visual means (e.g., audio only, SMS, email).
In states that limit the communication means allowed to deliver telemedicine services, interruptions to your data connection could require you to reschedule your appointment.
By deciding to engage the Services, you acknowledge and agree that you are aware of these limitations and agree to assume the risk of these limitations. Furthermore, you agree and accept that: (i) any diagnosis you may receive is limited and, in some cases, provisional; (ii) the health care services are not intended, in all cases, to replace a full medical evaluation or an in-person visit with a health care provider; (iii) a Provider or Medical Group acting through the Services may not have important information that is usually obtained through a “hands-on” physical examination; and (iv) the absence of a physical examination may affect the Provider or Medical Group’s ability to diagnose any potential condition, disease or injury.
